What is a green box?
When registering a company in Hong Kong, the "green box" refers to a box that contains various documents related to your business, many of which are necessary for you to operate legally in Hong Kong. The company green box generally includes: company articles of association, company steel seal, company signature seal, company circular seal, stock book, and legal record book.
After the company is incorporated, the Registrar of Companies will deliver these documents to the company's registered agent or company secretary representing the company. The green box is a safekeeping box for important company documents, which must be kept properly and available for review at any time.
Is a green box necessary to start a company?
According to the new Companies Ordinance, the new Ordinance has simplified the procedures for starting a business in Hong Kong, and the mode of company execution of documents has also been simplified to the point where the company can choose whether to keep and use a corporate seal (section 124(1)). As a result, many new companies now no longer need to use a physical green box.
However, it is important to stress that although a physical Green Box is no longer required, companies are still required by law and regulations to properly preserve and safeguard their important corporate documents and records.
